Terms of Service

These Terms of Service ("Terms") govern your use of AffiliateBase ("Service"), operated by Relay Capital, LLC ("we," "our," or "us"). These Terms are an agreement between Relay Capital, LLC and the person or business that uses the Service ("you"). By using our Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using AffiliateBase, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

AffiliateBase is an affiliate tracking and commission management platform that enables businesses to:

• Create and manage affiliate programs
• Track referrals via links and promo codes
• Calculate commissions based on sales
• Manage affiliate payouts
• Integrate with Stripe for payment tracking

3. Account Registration

3.1 Account Requirements

To use AffiliateBase, you must:

• Provide accurate, complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Be at least 18 years old or the age of majority in your jurisdiction
• Not be on any sanctions or restricted business lists

3.2 Account Types

• Organization Accounts: Businesses using AffiliateBase to run affiliate programs
• Team Member Accounts: Users invited to manage an organization's affiliate program
• Affiliate Accounts: External partners who promote products via referral links

3.3 Business Use

AffiliateBase is offered for business and professional use, not for personal, family or household purposes. If you plan to use it for non-business purposes, tell us before you sign up.

3.4 Account Security

You are responsible for all activity under your account. Notify us immediately of any unauthorized access at support@affiliatebase.io.

4. Stripe Integration

4.1 Connecting Your Stripe Account

Our Service connects to your Stripe account through the AffiliateBase Stripe App using OAuth. By connecting your Stripe account, you:

• Authorize us to access transaction data necessary for commission tracking
• Agree to Stripe's terms of service and privacy policy
• Understand that we receive webhook events for relevant transactions

4.2 Permissions

Our Stripe App requires the following permissions:

4.3 Disconnection

You may disconnect AffiliateBase from your Stripe account at any time through Stripe Dashboard settings. Disconnection will:

• Stop new referral tracking and commission calculations
• Preserve historical data for record-keeping
• Not affect previously calculated or paid commissions

4.4 Stripe Connect Payouts (Optional)

If you choose to pay affiliates through Stripe, your Stripe account acts as the Stripe Connect platform and your affiliates onboard to it as connected accounts. By enabling Stripe Connect payouts, you:

• Provide a restricted API key for your Stripe account, which we verify belongs to your connected Stripe account and store to submit the payouts you request
• Authorize us to create transfers from your Stripe balance to your affiliates' connected accounts when you, a team member, or your API integration starts a payout or payout run
• Agree to Stripe's terms that apply to Connect platforms and are responsible for your obligations under them
• Are responsible for keeping enough available balance in your Stripe account and for Stripe's Connect fees, which Stripe bills to you directly
• Understand that Stripe determines which affiliates can onboard and receive transfers, including country and verification requirements

Stripe moves the funds. AffiliateBase never holds or takes possession of funds paid to your affiliates. You can revoke the restricted key in your Stripe Dashboard at any time, which stops new Stripe payouts from AffiliateBase.

5. Use of Service

5.1 Permitted Use

You may use AffiliateBase to:

• Create legitimate affiliate marketing programs
• Track genuine customer referrals
• Calculate and pay affiliate commissions
• Generate reports and analytics

5.2 Prohibited Use

You may NOT use AffiliateBase to:

• Engage in fraudulent or deceptive practices
• Violate any applicable laws or regulations
• Infringe intellectual property rights
• Transmit malware or harmful code
• Circumvent our fraud detection systems
• Create fake referrals or inflate metrics
• Process payments for prohibited businesses
• Resell or redistribute the Service without authorization
• Attempt to reverse engineer the Service
• Harass, abuse, or harm others
• Violate Stripe's acceptable use policy
• Create accounts with false information, in bulk or by automated means, or to get around limits, trials, suspensions or bans
• Use the Service to build, train, benchmark or copy a competing product, or to collect information about the Service for a competitor
• Copy, sublicense or frame the Service, or reverse engineer it except where law allows despite this restriction
• Scrape, overload or disrupt the Service, or probe, scan or test its security without our written permission

You will not let anyone else do these things with your account.

5.3 Refusal of Service

Subject to applicable law, we may refuse service to anyone, and we may suspend or close an account when we reasonably suspect a breach of Section 5.2. Closing an account for other reasons follows Section 14.3.

5.4 Affiliate Program Requirements

Organizations using AffiliateBase must:

• Clearly disclose affiliate relationships as required by FTC guidelines
• Pay affiliates according to agreed terms
• Not use deceptive advertising practices
• Comply with applicable advertising and marketing laws

6. Fees and Payment

6.1 Subscription Plans

AffiliateBase offers various subscription plans. Fees are billed in advance on a monthly or annual basis. Current pricing is available on our pricing page.

6.2 Payment Terms

• Overdue payments may result in service suspension
• You are responsible for applicable taxes
• We may change prices for future billing periods with at least 30 days' notice. The new price applies from your first renewal after that notice

6.3 Cancellation and Refunds

• You can cancel at any time in billing settings. Cancellation takes effect at the end of the current billing period. You keep access until then and are not charged again
• Fees are not prorated or refunded for partial periods, except where the law requires
• If you ask within 14 days of your first paid charge, we will refund that charge in full
• If we close your account for a reason other than your breach of these Terms, we will refund the unused part of your prepaid period
• Any other refund or credit is at our discretion and does not change this policy
• Please contact support@affiliatebase.io before disputing a charge with your bank; we can usually resolve billing problems faster. We may suspend an account with an open payment dispute until it is resolved

6.4 Affiliate Payouts

• Organizations are solely responsible for paying their affiliates, including the amount, timing, and method of payment
• AffiliateBase calculates commissions and can export payout data so you can pay affiliates outside the Service, for example through PayPal or Wise
• If you enable Stripe Connect payouts (Section 4.4), we submit transfers from your Stripe account only when a payout or payout run is started by you, a team member, or your API integration. We do not schedule payouts automatically
• We never hold, receive, or take possession of funds owed to your affiliates
• You are responsible for any tax reporting required for payments to your affiliates

7. Commission Calculations

7.1 Attribution Rules

• Attribution is based on referral links, cookies, and promo codes
• Attribution priority: Promo Code > Referral Cookie > None
• Last-click attribution applies by default; you can choose first-click attribution for a campaign
• The attribution window is configurable per campaign

7.2 Commission Processing

• Commissions are calculated automatically based on campaign settings
• Percentage commissions are calculated on the amount the customer paid as reported by Stripe, after discounts and less any refunds
• Commissions may be held pending for fraud review or refund periods
• Refunded transactions may result in voided or adjusted commissions

7.3 Disputes

Commission disputes should be resolved between organizations and their affiliates. We provide data and tools but do not arbitrate disputes.

8. Intellectual Property

8.1 Our Property

AffiliateBase, including its software, design, logos, and documentation, is owned by Relay Capital, LLC and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service.

8.2 Your Content

You retain ownership of data you submit to AffiliateBase. You grant us a license to use this data to provide and improve the Service.

8.3 Feedback

Any feedback or suggestions you provide may be used by us without obligation to you.

9. Privacy and Data

9.1 Privacy Policy

Our Privacy Policy explains how we collect, use, and protect data. By using the Service, you consent to our data practices.

9.2 Data Processing

For customers subject to GDPR, we act as a data processor for certain personal data. Our Data Processing Agreement is available upon request.

9.3 Data Security

We implement reasonable security measures but cannot guarantee absolute security. You are responsible for securing your account credentials.

10. Third-Party Services

10.1 Integrations

AffiliateBase integrates with third-party services including Stripe. These services have their own terms and privacy policies.

10.2 Tracking Script

Our tracking script is installed on customer websites. Website owners are responsible for:

• Obtaining necessary consents from visitors
• Disclosing tracking in their privacy policies
• Complying with applicable cookie laws

11. Disclaimers

11.1 Service Availability, Backups and Security

The service is provided "as is" and "as available." We make no warranties, express or implied, including merchantability, fitness for a particular purpose, title, or non-infringement. We do not promise that the Service will be uninterrupted, error-free or available at any particular time, and we may change, suspend or discontinue features.

We take reasonable steps to protect and back up data, but backups are best effort and no system is completely secure. Keep your own copies of anything you cannot afford to lose, including your affiliate, referral, commission and payout records. We are not responsible for downtime, data loss or unauthorized access caused by third parties, by events outside our reasonable control, or by your own systems or credentials. Downtime does not entitle you to refunds or credits.

11.2 No Guarantee of Results

We do not guarantee any specific results from using AffiliateBase. Success depends on many factors outside our control.

11.3 Third-Party Actions

We are not responsible for actions of third parties, including affiliates, customers, or payment processors.

12. Limitation of Liability

12.1 Exclusion of Damages

To the maximum extent permitted by law, neither Relay Capital, LLC nor its members, officers, employees or contractors will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption, even if advised they were possible.

12.2 Liability Cap

Our total liability for all claims arising out of these Terms or the Service is limited to the greater of the fees you paid us in the twelve (12) months before the event giving rise to the claim, or US$100.

12.3 Essential Purpose

These limitations apply whatever the legal theory and even if any remedy fails its essential purpose.

12.4 Exceptions

Nothing in these Terms excludes or limits liability for fraud, gross negligence or willful misconduct, for death or personal injury caused by our negligence, or any liability that cannot be limited by law.

13. Indemnification

You will defend and indemnify Relay Capital, LLC, its members, officers, employees, and contractors against third-party claims, and the related losses and reasonable legal fees, arising from:

• Your content or data
• Your customers, affiliates, or end users, including your affiliate program practices and disputes with your affiliates
• Your use of the Service in breach of these Terms
• Your violation of law or of someone else's rights

This does not apply to the extent a claim is caused by our breach of these Terms.

14. Term and Termination

14.1 Term

These Terms remain effective until terminated by either party.

14.2 Termination by You

You may terminate by canceling your subscription and closing your account.

14.3 Termination by Us

We may terminate or suspend your account for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Extended inactivity
• At our sole discretion with 30 days notice

14.4 Effect of Termination

Upon termination:

• Your access to the Service will cease
• You remain responsible for outstanding fees
• We may retain data as required by law
• Provisions that should survive termination will survive

15. Modifications

We may update these Terms and will change the effective date when we do. Material changes take effect for existing paying customers 30 days after we notify them by email or through the Service, and for everyone else when posted. Continuing to use the Service after a change takes effect means you accept it.

If you were a customer before October 23, 2026, these updated terms apply to you 30 days after we email you about them; until then the previous version applies.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a claim, you agree to contact us at support@affiliatebase.io and give us 30 days to resolve it informally.

16.2 Governing Law

These Terms are governed by Wisconsin law, without regard to conflict-of-law rules.

16.3 Jurisdiction

Disputes will be brought only in the state or federal courts serving Milwaukee County, Wisconsin, and both parties consent to that jurisdiction, except that either party may bring an individual claim in small claims court.

16.4 Class Action and Jury Waivers

Claims must be brought individually, not as a plaintiff or class member in a class, collective or representative action. To the extent permitted by law, both parties waive trial by jury.

16.5 Time Limit

Any claim must be filed within one year after it arises, or it is permanently barred. This deadline does not apply to claims for unpaid fees, to indemnity claims, or to claims about infringement or misuse of either party's intellectual property.

16.6 Local Law

Where the law of your country or state gives you the right to bring claims in your local courts or forbids any part of this section, that law applies and the rest of this section still applies to the fullest extent allowed.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 Waiver

Failure to enforce any right does not waive that right.

17.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition or sale of AffiliateBase.

17.5 Force Majeure

We are not responsible for delays or failures caused by events outside our reasonable control, including outages or failures at hosting, network, payment, email or other third-party providers (such as Stripe), attacks, natural disasters, labor disputes and government action.

• Our app complies with Stripe's App Marketplace Agreement
• You may uninstall the app at any time through your Stripe Dashboard
• Uninstallation will stop future data collection but preserve historical records
• We adhere to Stripe's data handling and privacy requirements
